Terms and Conditions

  1. Interpretation

    In these Terms and Conditions, unless inconsistent with or otherwise indicated by the context:

    1. “AFSUG” means the African SAP User Group;
    2. “Agreement” means these Terms and Conditions together with any appendices hereto;
    3. “Delegate” means the party registering to attend the Event in terms of this Agreement;
    4. “Delegate Rights” means the package of benefits to be granted by AFSUG to the Delegate, as detailed in section 7 hereunder;
    5. “Event” means Saphila 2017, to take place between 4 and 6 June 2017 at Sun City Resort in North West Province;
    6. “Party/Parties” means AFSUG and the Delegate or either of them as the context may indicate; and
    7. “Registration Fee” means the applicable price together with value added tax for the registration and attendance at the Event by the Delegate.
  2. Introduction
    1. AFSUG will be organising and hosting the Event which Delegate wishes to attend.
    2. The Delegate agrees that this Agreement, together with all rules and/or regulations relating to the Event published by AFSUG on its website and/or issued in writing by AFSUG from time to time, will govern the Delegate’s registration for and attendance
      at the Event.
    3. Any conflicting terms and/or conditions stipulated by the Delegate are expressly excluded.
    4. By registering for the Event and accordingly accepting this Agreement, you authorise the AFSUG event team to contact you or your designated representatives regarding the status of your registration and/or relevant Event information.
  3. Registration
    1. Subject to availability, the Delegate will be entitled to register to attend the Event by either providing AFSUG with an Event registration form accompanied, where applicable, by proof of payment of the Registration Fee or via the submission of an online
      booking and, where applicable, payment of the Registration Fee through AFSUG’s Saphila website (as the case may be), provided that AFSUG shall not be obliged to accept any such registration, with the acceptance thereof being within its sole discretion.
      AFSUG accordingly, reserves the right of admission to the Event.
    2. Attendance and access to the Event will only be confirmed on receipt of payment. No admittance to the Event will be granted without payment being received in full.
    3. The early-bird special will run from 1 February 2017 to 28 February 2017. Thereafter normal rates will apply.
    4. Registration will be open until all conference space has been sold out and online registrations will close on 17 May 2017. If registering as a group, each Delegate must complete a separate Event registration form.
  4. Payment Terms
    1. The Registration Fee will be the sum indicated in the Event registration form and shall be payable by the Delegate to AFSUG in full simultaneously with the Delegate registering to attend the Event. An invoice with the Event bank details will be sent
      to you within 48 hours of receipt of your registration.
    2. Such Registration Fee shall be payable by the Delegate to AFSUG in cash, in South African currency (Rands) and free of any exchange, deduction and/or set-off. Payments can be made using credit card or by bank transfer or by direct deposit, paid into the following bank account: Account Name: Ovation Audience Relationship Team Bank: Nedbank Account Number: 1130475042 Branch Code: 14690591 Switft Code: NEDSZAJJ
    3. All bank fees and/or money transfer costs shall be for the account of the Delegate and the Delegate must indicate as a reference on all bank deposits, transfers and communications his/her name and, if issued at such time, his/her User Name provided via the registration
      system.
    4. All early bird fees must be paid by 28 February 2017. Failure to pay the early bird fee by such date will be liable for the full registration fees.
    5. Receipts will only be issued once proof of payment has been received, and once the payment has cleared and been identified in the AFSUG bank account.
    6. Proof of payment is to be emailed to info@saphila2017.com with your name and registration form. Should this not be received, your booking will be cancelled in the system and the Delegate will be required to register again and may suffer late registration fees.
    7. A certificate under the hand of any authorised director or manager of AFSUG (whose appointment need not be proved), as given from time to time, in respect of the
      indebtedness of the Delegate in terms of this Agreement or in respect of any other facts shall be prima facie evidence of the Delegates indebtedness to AFSUG and/or such other fact and shall be sufficient for all legal proceedings.
  5. Cancellation Policy
    1. On completion of the Event registration form Delegate will be liable for the full amount of the Registration Fee subject to the cancellation conditions below.
    2. All cancellation, amendments and substitution requests must be must be emailed to info@saphila2017.com.
    3. A cancellation by the Delegate of his/her registration for the Event will not be effective until an acknowledgment of cancellation is issued in writing by AFSUG.
    4. Subject to AFSUG’s acceptance of such cancellation, cancellations received in writing by 13 April 2017 will receive a full refund less a 15% administration fee.
    5. Cancellations received in writing after 13 April 2017 will result in the full Registration Fee payment being due.
    6. AFSUG recommends transfer of registration to a new Delegate to avoid any cancellation fees.
    7. All refunds due will only be issued after the Event. 5.10 This Agreement shall be binding on all agreed substitutes.
  6. Attendance at the Event
    1. The Delegate shall comply with all reasonable requests and/or instructions of AFSUG with respect to his/her registration for and attendance at the Event.
    2. AFSUG reserves the right to remove the Delegate from the Event if the Delegate and/or his/her conduct is deemed detrimental to the overall Event, its venue, other delegates and/or exhibitors, AFSUG and/or the public.
    3. Delegates are responsible for taking appropriate insurance cover in connection with their attendance at the Event. AFSUG or any individuals associated with the Event or hosts in any capacity shall not be liable for any kind of loss or damage to personal property, Delegates or sponsors.
  7. Delegate Rights

    The following is included in the Delegate Registration Fee:

    1. Attendance at Saphila Conference on 5 and 6 June 2017.
    2. Attendance of all key note and plenary sessions held in the Sun Central Conference Centre.
    3. Entrance to all Saphila exhibition spaces.
    4. Entrance to Saphila evening events on 5 and 6 June 5.
    5. Entrance to any Saphila after parties on 5 and 6 June If the Delegate is attending the Executive Forum:Entrance to the Executive Forum Lounge in the Sun Central Conference Centre.
  8. Representations and Warranties
    1. The Delegate by signing the Event registration form and/or booking for the Event online (as the case may be) warrants that he/she has full capacity to conclude this contractual agreement with AFSUG, and that he/she has read and understood the provisions
      contained in this Agreement and agrees to be bound thereby.
    2. While speakers and topics were confirmed at the time of publishing, circumstances beyond the control of AFSUG may necessitate substitutions, alterations or cancellations of the speakers and/or topics. As such, AFSUG reserves the right to amend, substitute add to and otherwise modify the Event program, Event speakers, special offers, competitions and other offerings related to the Event as may be published from time to time without
      any liability to the Delegate whatsoever. Any substitutions or alterations will be updated on the Event web page as soon as possible.
    3. Delegates may attend the conference as per the offerings on the Agenda and Delegate warrants that it shall refrain from doing any promotional marketing for any specific event or in any manner that is in contradiction to the Event, its organisers and any third party (forming part of the Event).
  9. Intellectual Property

    The Delegate acknowledges that it does not have any right, title or interest, and agrees that it will not claim any, in or to any trade mark, trade name, logo or other intellectual property rights of AFSUG or related to the Event. In furtherance of the
    foregoing, The Delegate agrees that any use of AFSUG or the Event trade mark, trade name, logo or other indicia is subject to the prior written approval of AFSUG.

  10. Data Protection
    1. Delegates understand and agree that in order to organise the event, AFSUG must collect and use personal information about delegates.
    2. The personal information provided by the Delegate to AFSUG will be used for the following purposes:
      1. To process Delegate’s registration;
      2. To process any other transactions requested by Delegate;
      3. To inform the Delegate of updates with regards to the Event; and
      4. To send the Delegate relevant information regarding the Event.
    3. AFSUG shall take all reasonable steps to protect the personal information of Delegates. 10.4 Delegates are entitled to a copy of their information held by AFSUG, which can be obtained by contacting AFSUG on tracey.greig@afsug.com.
  11. Liability
    1. AFSUG (nor any of its agents and/or representatives) will not, under any circumstances, be liable for any injury, loss and/or damages, whether special, general, direct, indirect and/or consequential, suffered by the Delegate, his/her family members,
      employees, invitees, guests and/or customers, arising directly and/or indirectly from the Event. All warranties (whether express or implied) relating to the Event are excluded. AFSUG accepts no liability for any loss and/or damages whatsoever that
      the Delegate, his/her family members, employees, invitees, guests and/or customers may suffer in connection with and/or arising directly and/or indirectly from the Event or otherwise (including loss of profit, loss of business and/or any other type
      of economic loss). To the extent permitted by law, the Delegate hereby indemnifies AFSUG against all claims of whatsoever nature that may be made against AFSUG arising directly and/or indirectly from the Event. The Delegate is responsible for taking,
      and is encouraged to take, appropriate insurance cover in connection with the aforegoing.
    2. The Delegate assumes full responsibility and liability for the actions of his/her family members, agents, employees, guests, invitees, customers and/or
      independent contractors, whether acting within or without the scope of their authority, and agrees to hold AFSUG harmless from responsibility or liability resulting directly and/or indirectly, and/or jointly, from the actions and/or omissions of the
      Delegate’s family members, agents, employees, guests, invitees, customers and/or independent contractors, whether acting within or without the scope of their authority.
    3. AFSUG shall not be liable for damages of any kind resulting from errors or omissions in its conference materials, nor shall AFSUG be liable for any damages resulting from the use of its conference materials or other information conveyed at the Event.
  12. Status of this Agreement

    For the avoidance of doubt, it is recorded that the provisions of this Agreement are legally binding on the Parties and the Agreement will be governed by South African Law.

  13. Force Majeure

    Neither Party shall be liable for damages for its failure to perform due to contingencies beyond its reasonable control, including, but not limited to, fire, storm, flood, earthquake, explosion, accidents, public disorders, sabotage, acts of terrorism,
    acts of war, riots or acts of God. Accordingly, AFSUG shall have no liability if, in the case of an act of God or the event outside the control, the Event needs to be modified, shortened or cancelled.

  14. Photography and Videography Disclosure

    The Delegate hereby:

    1. Consents to AFSUG and/or their representatives taking photographs and/or video recordings at the Event of all Event related activities and parties, including the Delegate;
    2. permits AFSUG and/or their representatives to use and distribute such footage, which may feature images of the Delegate, in advertising, promotions and/or other such marketing endeavours and/or documents of AFSUG and/or their representatives, whether in hardcopy, electronically or otherwise;
    3. waives his/her right to inspect and/or approve the photographs and/or video recordings and/or other finished products incorporating such graphics, including copies that may be created and/or appear in connection therewith;
    4. consents to AFSUG owning the copyright in such photographs and/or video recordings and/or derivatives thereof, with the Delegate waiving any claims based on the usage thereof and/or the works derived therefrom.
  15. General
    1. No addition to, variation, or agreed cancellation of this Agreement shall be of any force or effect unless in writing and signed by or on behalf of the Parties.
    2. The rights and obligations of the Delegate under this Agreement may not be assigned or delegated without the written consent of AFSUG.
    3. A Party shall not be entitled without the express written consent of the other Party, to make any undertakings, statements, inducements, promises or other representations on behalf of the other Party.
    4. Should any of the provisions of this Agreement be held to be invalid, unlawful or unenforceable, such provision shall be deemed severable from the remaining provisions which shall continue to be valid and enforceable. If any provision
      held to be invalid is capable of amendment to render it valid, the Parties agree to negotiate an amendment to remove such invalidity.
    5. The Delegate selects as his/her chosen domicilium citandi et executandi for the giving of any notice to him/her and/or the service of any documents on it in terms of this Agreement, his/her physical address specified in the Event registration form.
    6. No provision herein contained shall be construed against or interpreted to the disadvantage of a Party by reason of such Party having or being deemed to have structured, drafted and/or introduced such.
